What is a partnership?

A partnership is not necessarily a legal entity per se, but it means a contractual relationship between two or more persons who have entered into a contract for profit. It is possible to incorporate as a partnership as a legal entity in the Registrar of Partnerships, but this is not mandatory. As an alternative, it is possible to register as a partnership for VAT purposes without registration with the Registrar of Partnerships. A partnership is transparent for tax purposes, meaning that no tax will be paid to the sealing, but only to its partners. Each partner will take his 'surgeon' home and he will have to pay tax on it according to his situation, his marginal tax rate. Sometimes, partnerships reach tax arrangements with the tax authorities so that limited partners are willing to pay 25% tax on profits arising from partnership (this is a complex issue that we will not address on this page).

Types of partnerships in Israel

There are two types of partnerships: general partnership and limited partnership.

General partnership: A partnership in which all partners are general partners, and are responsible without limitation for the obligations of the business. The distribution of profits is made in accordance with what was agreed. There may be up to 20 general partners. However, in partnerships of lawyers or accountants, more than 20 members may be included to practice their profession.

Limited partnership: A partnership that includes at least one general partner, who is personally responsible for all the partnership's charges, and at least one limited partner, whose liability for the company's debts is limited to the amount invested in the partnership. There is no limit to the number of partners.

What bodies and types of people come together as a partnership?

There are quite a few types of people and entities that come together as a partnership, it can be lawyers, accountants, architects and other professionals. It should be noted that these are usually the professionals who form a partnership. In addition to them, there are venture capital funds, debt funds and funds of various types that also incorporate as partners and sometimes have significant tax benefits.

Does a partnership have to file audited financial statements? Accountant for partnership as auditor

In accordance with Section 63 of the Income Tax Ordinance, the head of the partners shall prepare and submit a report on the income of the partnership each year. In practice, it is customary to attach the partnership's profit and loss statement to the partners' personal reports. In the said report, there will be a breakdown of the distribution of income between all partners. The other partners are not required to submit the full reports of the partnership, but it is sufficient to attach the income distribution report between the partners. Regarding the identity of partners, individuals/companies or something else has an impact on accounting. In other words, if a company is a partner in a partnership, the partnership's financial statements must be audited so that they can be relied upon and included in the companies' audited reports.
